Terms of Service for ProfitPad

1. Acceptance of Terms
By accessing and using the ProfitPad mobile application (the “App”), you accept and agree to be bound by and abide by the terms and conditions of this agreement (the “Terms of Service”).
If you do not agree to abide by the foregoing, please do not use this App.
2. License Grant
We grant you a limited, non-exclusive, non-transferable, and revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.
You may not:
- Reverse engineer, decompile, or disassemble the App
- Use the App for commercial purposes without permission
- Remove copyright, trademark, or other proprietary notices
- Use the App in any way that violates applicable laws
3. User Content
3.1 Your Financial Data
- All financial records, expenses, income, and invoices you create (“User Content”) remain your property
- We do not own, control, or claim rights to your User Content
- You are solely responsible for the accuracy and legality of your content
3.2 Backup and Export
- You can export your data in CSV format or as a ZIP backup
- You can delete your data at any time
- Deleted data cannot be recovered from the App
3.3 Responsibility for Data
- You are responsible for maintaining accurate records for tax and accounting purposes
- We do not provide tax advice or professional accounting services
- Consult a tax professional or accountant for compliance with laws
4. Free vs. Pro Features
4.1 Free Tier
ProfitPad offers free access with these limits per month:
- 1 Profit Pad (separate project)
- 50 Expenses per month
- 50 Income entries per month
- 50 Invoices per month
- Limited themes
- No CSV/PDF export
- No receipt image export
4.2 Pro Tier
Upgrade to Pro for:
- ✅ Unlimited Pads
- ✅ Unlimited expenses, income, invoices
- ✅ Full CSV & ZIP exports
- ✅ PDF report generation
- ✅ Backup with receipt images
- ✅ All themes
- ✅ One-time purchase (no subscription)
- We may offer trial periods or promotional pricing at our discretion
- Trial features sunset after the trial period unless Pro is purchased
- Promotional offers may have additional terms
5. Purchases and Payments
5.1 Pro Purchase
- Pro is a one-time purchase (lifetime access, no recurring charges)
- Payment is processed through RevenueCat and your device’s app store (Apple App Store or Google Play)
- Your payment method is charged immediately upon purchase
- You agree to RevenueCat’s Privacy Policy and Terms of Service
5.2 Refunds
- Refunds are subject to your device’s app store policy (Apple/Google)
- Apple: 14-day refund policy for most purchases
- Google Play: 15-minute testing window for all purchases
- We cannot process refunds directly; use your app store’s refund process
5.3 Price Changes
- We may change Pro pricing at any time
- Existing Pro users keep their access regardless of price changes
- Free tier limits are subject to change with notice
6. Prohibited Activities
You agree NOT to:
- ❌ Use the App for illegal purposes or violating laws
- ❌ Harass, threaten, or defame others
- ❌ Transmit malware, viruses, or malicious code
- ❌ Spam or send unsolicited messages
- ❌ Bypass security features or access restrictions
- ❌ Attempt unauthorized access to the App or servers
- ❌ Impersonate others or misrepresent identity
- ❌ Collect or use others’ data without consent
7. Disclaimer of Warranties
THE APP IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:
- ❌ Fitness for a particular purpose
- ❌ Merchantability
- ❌ Non-infringement
- ❌ Accuracy or completeness of data
We do not guarantee:
- ❌ Error-free operation
- ❌ Uninterrupted availability
- ❌ That bugs will be fixed
- ❌ Data will never be lost (maintain backups!)
8. Limitation of Liability
IN NO EVENT SHALL PROFITPAD BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Business interruption
- Even if advised of the possibility of such damages
Our total liability is limited to the amount you paid for Pro (if applicable), or $0 for free users.
9. Indemnification
You agree to indemnify and hold harmless the developer of ProfitPad from:
- Claims arising from your use of the App
- Violation of these Terms
- Violation of laws or others’ rights
- Your User Content
- Your financial records and tax compliance
10. Availability and Discontinuation
10.1 Service Availability
We aim to maintain the App 24/7, but do not guarantee uptime. We may experience downtime for:
- Maintenance and updates
- Emergency security patches
- Server issues beyond our control
10.2 Discontinuation
- We may discontinue the App or features with reasonable notice
- Upon discontinuation, we will provide instructions for exporting your data
- Existing Pro users will not be charged after discontinuation
11. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be:
- ✅ Communicated within the App
- ✅ Effective immediately (unless otherwise stated)
- ✅ Your continued use = acceptance of changes
Significant changes may require explicit acceptance.
12. Intellectual Property
12.1 Our IP
- ProfitPad name, logo, and branding are our property
- The App code, design, and features are protected by copyright
- You may not use our intellectual property without permission
12.2 Third-Party IP
- The App uses open-source libraries under their respective licenses

- All third-party trademarks remain their property
13. Termination
We may terminate or suspend your account if you:
- Violate these Terms
- Engage in prohibited activities
- Attempt to abuse the App
- Violate applicable laws
Upon termination:
- ✅ Your access to the App is revoked
- ✅ Export your data before termination
- ✅ No refunds for Pro purchases (unless required by law)
14. Governing Law
These Terms are governed by the laws of Victoria, Australia, without regard to conflicts of law principles.
Any legal action must be brought in the courts located in Victoria, Australia.
15. Dispute Resolution
Before legal action, we both agree to:
- Send a written notice describing the dispute
- Attempt to resolve it within 30 days

15.2 Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration rather than court, under the laws of Victoria, Australia.
15.3 Exceptions
Intellectual property claims and injunctive relief may be brought in court without arbitration.
16. Severability
If any provision of these Terms is invalid or unenforceable, that provision is removed, and the rest remains in effect.
17. Entire Agreement
These Terms constitute the entire agreement between you and ProfitPad regarding the App, superseding all prior agreements and understandings.

Important Notes for Users

- Keep records for audit requirements in your jurisdiction

- Protect your device from unauthorized access
- Use strong device passwords
- Do not share your device with others
